Listed companies shall maintain a list or log book of persons who are employees or service providers for the company and who have access to insider information concerning the company. This includes persons with an insider position, but also other persons who have insider information without meeting the requirement for an insider position.
 
The log book shall state the following:
 
  • reasons for why the person is included
  • the date when the person gained access to the information (Finansinspektionen recommends as well that the time is noted) and
  • when the list was last updated.
     
Persons included in the log book shall be simultaneously informed by the company in writing about what this involves.
 
The log book shall be updated and saved for at least five years from the date when it was created or five years from the date when it was updated.
 

A fee is charged for non-compliance

FI charges a fee to companies that do not comply with the log book regulations. A fee may also be charged to companies that do not send their log book to FI when requested.
 
The fee is between 0.005 and 0.01 per cent of the company's listed market value at the end of the month prior to the decision, though a minimum of SEK 15,000 and a maximum of SEK 1,000,000.
 
The fee is SEK 15,000 if the company has not informed in writing the person included in the log book within the stipulated timeframe.
