Stock market companies (Swedish limited companies which issue shares and are listed on an exchange or authorised marketplace) are obligated to report to Finansinspektionen the identity of persons in the company and its subsidiaries who hold insider positions.
The reporting duty also applies to Swedish limited liability companies that issue shares traded on a regulated market in another state within the EEA (European Economic Area) and to foreign limited liability companies that are listed in Sweden but which have their registered offices outside Sweden.
The report must be received by Finansinspektionen within 14 calendar days from the date on which the insider position arose, ceased or otherwise changed. The company must simultaneously notify the persons in writing of their insider positions. Where the insider position is based on shareholdings, the holder shall personally report the insider position to Finansinspektionen.
